Legal Counsel (Corporate)
YOUR MISSION AT VOI
As Legal Counsel (Corporate), you’ll be part of our Legal & Insurance team, working closely with our Senior Legal Counsel on corporate legal and administrative matters in Sweden and across the Group. You’ll strengthen our corporate legal capabilities as we grow in scale, combining legal expertise with business judgement to keep the company running smoothly. Your responsibilities will include:
Shareholder Management: Ensure compliance with the shareholders’ agreement, handle transfers, secondary sales and incentive arrangements, assist with general meetings including the AGM, and answer shareholder and stakeholder questions.
Cap Table: Together with the Paralegal, keep the cap table 100% accurate, including the issuance and cancellation of shares, options and other instruments.
Board Governance: Support the board and company on governance matters, and ensure compliance with corporate policies, delegation of authority and internal controls.
Corporate Actions: Support potential M&A, listing of securities and similar transactions, as well as MAR matters.
Group Structure: Contribute to maintaining the group structure as it evolves, and ensuring each Group company complies in its jurisdiction of incorporation.
Corporate Administration: Ensure corporate filings, annual reports and accounts, and annual processes are completed on time, together with Finance, the Paralegal and foreign lawyers where needed.
Team Collaboration: Support Finance and other colleagues across the Group with legal questions, and work with the Senior Legal Counsel or General Counsel to allocate work across the team and appoint external advisers.
WHAT YOU NEED TO EMBARK

1+ years experience in corporate law, in-house or at a law firm.
